RALI Terms of Service
Effective Date: September 1, 2026
These Terms of Service (“Terms”) govern your access to and use of the RALI Bottle, RALI Base, RALI mobile applications, rali.co, RALI software, websites, connected products, physical products, content, features, tools, and related services (collectively, the “Services”) provided by RALI Labs Inc. (“RALI,” “we,” “us,” or “our”).
By accessing or using the Services, creating an account, placing an order, or otherwise indicating your acceptance of these Terms, you agree to be bound by them and by the policies incorporated into them. If you do not agree, do not use the Services.
1. Eligibility and United States Availability
You must be at least 13 years old to create a RALI account. If you are under the age of majority where you live, you may use the Services only with the permission of a parent or legal guardian.
By placing an order, you represent that you have the legal capacity or authorization necessary to make the purchase.
The Services are currently intended for users and customers in the United States. RALI does not represent that the Services are appropriate or available in other jurisdictions.
2. The RALI Services
RALI provides products and technology designed to help users track, understand, organize, and interact with general wellness and lifestyle information.
The Services may include connected products, mobile applications, websites, measurements, tracking features, food and nutrition information, software-generated analysis, social features, summaries, trends, insights, suggestions, and other functionality that RALI may add, modify, or discontinue over time.
3. General Wellness Only; Not Medical Advice
The Services are intended for general wellness and informational purposes and are not a substitute for professional medical advice, diagnosis, treatment, or emergency care.
The Services are not intended to diagnose, treat, cure, mitigate, or prevent disease, determine medication dosage, replace professional medical care, or override instructions from a healthcare professional.
If you have been given medical, dietary, hydration, medication, or other health-related instructions by a qualified professional, follow those instructions rather than relying on RALI. If you believe you are experiencing a medical emergency, contact emergency services.
4. Measurements, Information, and Software-Generated Outputs
Measurements, classifications, calculations, food information, nutrition information, wellness information, trends, recommendations, and other outputs provided through the Services may be incomplete, delayed, or inaccurate.
Results may be affected by device placement, movement, environmental conditions, user behavior, connectivity, synchronization, third-party data, product information, software, calculations, data processing, and other factors. RALI does not guarantee that every event or activity will be detected, recorded, classified, synchronized, or calculated correctly.
Software-generated outputs can be incorrect even when they appear precise or confident. You are responsible for reviewing information that is important to you and should not rely on the Services as your sole source of information where an error could create a health, safety, financial, or other significant risk.
5. RALI Products and Compatibility
RALI products must be used only for their intended purposes and in accordance with RALI's published instructions, warnings, compatibility information, and safety guidance.
RALI Base contains a lithium-ion polymer battery.
Compatibility with a particular mobile device, operating system, container, accessory, third-party product, network environment, or other equipment is not guaranteed unless RALI expressly states otherwise.
To the extent permitted by law, RALI is not responsible for damage resulting from misuse, improper installation, use outside published specifications, incompatible accessories, neglect, unauthorized alterations, accidents, or failure to follow applicable instructions.
Connected products and applications may occasionally fail to communicate, synchronize, or operate as expected because of connectivity, battery status, device configuration, interference, software errors, server availability, third-party systems, or other technical conditions. RALI does not guarantee uninterrupted communication, continuous availability, or real-time synchronization.
6. Accounts
You agree to provide accurate, current, and complete information when creating or using an account and to keep that information reasonably current.
You are responsible for safeguarding your account credentials and for activity occurring through your account except to the extent applicable law provides otherwise.
You may not sell, transfer, license, fraudulently create, impersonate another person through, or obtain unauthorized access to an account.

7. Products, Descriptions, Changes, and Availability
RALI makes reasonable efforts to accurately describe and display its products. Product images, colors, packaging, appearance, components, features, and other characteristics may differ from what is displayed or previously offered.
RALI may change, update, modify, replace, suspend, limit, or discontinue products, product features, specifications, components, compatibility, packaging, software, functionality, or availability at any time, including after purchase, to the extent permitted by law.
RALI may also discontinue products or limit product quantities or availability at any time.
Nothing in this section limits rights expressly provided in the RALI Return & Refund Policy or rights that cannot legally be waived.
8. Orders and Acceptance
Submitting an order constitutes an offer to purchase and does not require RALI to accept the order. An automated order acknowledgment, payment authorization, or other automated communication does not necessarily constitute acceptance.
RALI may reject or cancel an order before shipment because of product availability, payment issues, suspected fraud, pricing or listing errors, quantity restrictions, shipping restrictions, suspected resale, legal requirements, or other legitimate business reasons.
If RALI cancels an order after collecting payment, RALI will refund the amount collected for the canceled portion.
You are responsible for reviewing your order before submitting it. Once an order has been accepted or entered fulfillment, RALI cannot guarantee that it can be changed or canceled.
Unless RALI agrees otherwise in writing, purchases are for personal or household use and not for commercial resale or unauthorized export.
9. Pricing, Payment, and Taxes
Prices are stated in U.S. dollars unless otherwise indicated and may change before an order is placed.
You agree to provide accurate billing and payment information and represent that you are authorized to use the payment method you provide.
You authorize RALI and its payment processors to charge the applicable purchase price, shipping charges, taxes, and other amounts disclosed at checkout.
Prices offered through RALI may differ from prices available through another seller, sales channel, promotion, or marketplace.
10. Promotions, Discounts, and Referrals
Promotions, discounts, referral benefits, credits, free-shipping offers, and similar programs may be subject to additional terms communicated with the offer.
To the extent permitted by law, RALI may cancel, withhold, reverse, or refuse promotional benefits obtained through fraud, self-referral, duplicate or fabricated accounts, automated activity, manipulation, code resale, unauthorized combination of offers, misrepresentation, or other abuse.
11. Shipping and Delivery
Shipping and delivery are governed by the RALI Shipping Policy posted on rali.co.
Delivery dates and transit times are estimates rather than guarantees. Delays may occur because of carriers, weather, service disruptions, incorrect addresses, or circumstances outside RALI's reasonable control.
You are responsible for providing an accurate and deliverable shipping address.
Nothing in these Terms limits rights relating to shipping or delivery that cannot lawfully be waived.
12. Returns, Refunds, and Product Warranty
Returns, exchanges, refunds, and any product warranty expressly offered by RALI are governed by the RALI Return & Refund Policy posted on rali.co.
Subject to applicable law, RALI may refuse or adjust a return, refund, exchange, or warranty claim that does not comply with that policy or that RALI reasonably determines involves fraud, abuse, product substitution, materially different or missing returned items, identifier mismatch, intentional damage, misuse, neglect, unauthorized alteration, or other deceptive conduct.
Nothing in these Terms or the RALI Return & Refund Policy limits any consumer right that cannot legally be waived.
13. User Content and Social Features
The Services may allow you to upload, save, post, transmit, or share photographs, meal information, profile information, comments, messages, or other material (“User Content”).
You retain ownership of your User Content. You grant RALI a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, technically modify, transmit, and display your User Content as reasonably necessary to operate, secure, maintain, and provide the Services and the sharing functionality you choose to use.
You represent that you have the rights necessary to provide your User Content and that doing so does not violate another person's intellectual-property, privacy, publicity, confidentiality, or other rights.
If you make User Content visible to other users or the public, you understand that other people may view, save, copy, or further share it and that RALI cannot control what third parties do with information you voluntarily make available to them.
14. Content Standards and Moderation
You may not use the Services to post or transmit unlawful, infringing, fraudulent, threatening, abusive, harassing, obscene, deceptive, privacy-invasive, malicious, or otherwise seriously objectionable content; harm another person; impersonate someone; disclose another person's sensitive information without authorization; distribute malware or spam; or violate another person's rights.
RALI may investigate reports, remove or restrict content, limit distribution, block functionality, or suspend or terminate accounts when RALI reasonably believes doing so is necessary to enforce these Terms, protect users, comply with law, or protect the Services.
RALI has no obligation to pre-screen every item of User Content.
15. Copyright and Intellectual-Property Complaints
RALI respects intellectual-property rights and may remove or disable access to material that RALI reasonably believes infringes another person's rights. RALI may suspend or terminate repeat infringers where appropriate.

16. Feedback
If you voluntarily provide RALI with ideas, suggestions, feature requests, recommendations, or other feedback about RALI or the Services, RALI may use that feedback for any lawful purpose without restriction, obligation, or compensation to you.
This section does not transfer ownership of your unrelated User Content.
17. Privacy
RALI's collection, use, sharing, retention, and protection of personal information are governed by the RALI Privacy Policy posted on rali.co.
When you use RALI's online store or checkout, information may also be processed by Shopify and other service providers as necessary to operate those services and as described in applicable privacy notices.
If a RALI feature allows you to share information with another user or third party, information you choose to share may become available to that recipient.
18. Third-Party Information, Services, and Links
The Services may incorporate, display, rely upon, or link to information, software, databases, websites, products, or services provided by third parties.
RALI does not control and does not guarantee the accuracy, availability, security, legality, or performance of third-party services or information, and your use of them may be subject to separate terms and privacy policies.
RALI is not responsible for third-party products or services except to the extent RALI is legally responsible for the matter.
19. Relationship With Shopify
RALI's online store is powered by Shopify, which provides technology used to make the store available. Purchases made from RALI are transactions directly between you and RALI, not between you and Shopify.
To the fullest extent permitted by law, Shopify and its affiliates are not responsible for RALI products, fulfillment, warranties, refunds, injuries, losses, or other claims arising from transactions between you and RALI, and you release Shopify and its affiliates from claims arising solely from those transactions except where applicable law provides otherwise.
20. Acceptable Use and Protection of the Services
You may use the Services only for lawful purposes.
You may not interfere with the operation or security of the Services; introduce malicious code; probe, scan, or test vulnerabilities without authorization; bypass authentication, rate limits, access restrictions, or technical protections; scrape, crawl, spider, systematically extract, harvest, or copy RALI data or content through unauthorized automated means; create accounts or interactions through unauthorized automation; engage in account attacks; collect other users' personal information without authorization; spam or phish; impersonate another person; transmit knowingly false or misleading information; reverse engineer RALI software except where applicable law expressly permits it; exploit errors or promotions; or use unauthorized automated means to obtain or reproduce RALI proprietary data or content.
RALI may use technical measures to enforce these restrictions and may suspend or restrict access where RALI reasonably believes abuse, fraud, security threats, or violations of these Terms have occurred.
21. RALI Intellectual Property
The Services and all RALI-provided software, interfaces, designs, text, graphics, photographs, videos, trademarks, logos, algorithms, databases, technology, and other proprietary material are owned by or licensed to RALI and are protected by applicable intellectual-property laws.
Subject to these Terms, RALI grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable right to use the Services for their intended purposes.
No ownership interest in RALI technology or intellectual property is transferred to you, and all rights not expressly granted are reserved.
22. Errors, Inaccuracies, and Omissions
The Services may occasionally contain typographical errors, inaccurate information, omissions, pricing mistakes, incorrect promotions, incorrect shipping information, or availability errors.
RALI may correct such errors and update information at any time and, to the extent permitted by law, may cancel an affected order before shipment even after an order acknowledgment has been issued.
If payment has already been collected for a canceled portion of an order, that amount will be refunded.
23. Availability, Updates, and Changes to the Services and Products
RALI may at any time update, modify, replace, restrict, suspend, or discontinue Services, software, products, functionality, features, compatibility, integrations, or support, including after purchase, to the extent permitted by applicable law.
RALI does not guarantee uninterrupted availability, preservation of any particular feature or functionality, immediate synchronization, error-free operation, ongoing support for any particular product or feature, or indefinite compatibility with third-party hardware, software, operating systems, accessories, or services.
Nothing in this section limits any right expressly provided in the RALI Return & Refund Policy or any right that cannot legally be waived.
24. Disclaimer of Warranties
EXCEPT FOR ANY PRODUCT WARRANTY EXPRESSLY PROVIDED IN THE RALI RETURN & REFUND POLICY AND ANY WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED OR LIMITED, THE SERVICES AND ALL RALI-PROVIDED DIGITAL CONTENT, SOFTWARE, INFORMATION, FEATURES, TOOLS, SOFTWARE-GENERATED OUTPUTS, AND OTHER DIGITAL FUNCTIONALITY ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE FULLEST EXTENT PERMITTED BY LAW, RALI DISCLAIMS ALL WARRANTIES, REPRESENTATIONS, AND CONDITIONS NOT EXPRESSLY PROVIDED IN THESE TERMS OR THE RALI RETURN & REFUND POLICY, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND SECURITY.
RALI DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; THAT INFORMATION, MEASUREMENTS, CALCULATIONS, RECOMMENDATIONS, OR SOFTWARE-GENERATED OUTPUTS WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE; THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL ALWAYS BE CORRECTED; THAT DATA WILL NEVER BE LOST; OR THAT ANY PARTICULAR PRODUCT, SOFTWARE, FEATURE, OR THIRD-PARTY SERVICE WILL REMAIN COMPATIBLE, SUPPORTED, OR AVAILABLE.
Except to the extent applicable law provides otherwise, no advice, communication, or information obtained from RALI or through the Services creates a warranty or representation not expressly stated in these Terms or the RALI Return & Refund Policy.
Any product warranty expressly offered by RALI is governed by the RALI Return & Refund Policy. RALI does not disclaim or limit implied warranties, statutory warranties, remedies, or other consumer rights to the extent applicable law prohibits RALI from doing so.
25. Limitation of Liability
To the fullest extent permitted by law, RALI Labs Inc. and its directors, officers, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, lost opportunities, replacement costs, or similar losses arising from or relating to the Services or products.
To the fullest extent permitted by law, RALI's aggregate liability arising from or relating to the Services or products will not exceed the greater of the amount you paid directly to RALI during the 12 months preceding the event giving rise to the claim or $100.
These limitations do not apply to liability that applicable law does not permit RALI to exclude or limit and do not reduce any greater remedy expressly provided in the RALI Return & Refund Policy.
26. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless RALI Labs Inc. and its directors, officers, employees, and affiliates from third-party claims, liabilities, damages, losses, and reasonable legal expenses arising from your fraudulent or unlawful use of the Services, your intentional misuse of the Services, your violation of another person's rights, or User Content you provide that infringes or violates a third party's rights.
This section does not require you to indemnify RALI for RALI's own unlawful conduct.
27. Suspension and Termination
You may stop using the Services at any time.
RALI may suspend, restrict, or terminate access to an account or Service when RALI reasonably believes a user has materially violated these Terms, engaged in fraud or abuse, threatened the security or operation of the Services, violated law or another person's rights, or where suspension is required by law or reasonably necessary because a Service is being discontinued.
Provisions concerning ownership, User Content licenses to the extent necessary for previously shared content or lawful retention, feedback, disclaimers, liability, indemnification, and other provisions that by their nature should survive will continue after termination.
28. Force Majeure
To the fullest extent permitted by law, RALI is not responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, fires, epidemics, government actions, war, civil disturbances, labor disruptions, carrier failures, widespread power or communications failures, internet or cloud-service outages, and comparable events beyond RALI's reasonable control.
29. Governing Law
These Terms and disputes arising from them are governed by the laws of the State of Delaware, without regard to conflict-of-law principles, subject to any mandatory consumer protections that applicable law does not permit to be waived.
30. Electronic Communications
You agree that RALI may provide agreements, disclosures, receipts, service notices, account notices, product notices, safety notices, updates, and other transactional communications electronically through email, the Services, or rali.co to the extent permitted by law.
Marketing communications will be sent only as permitted by applicable law and subject to applicable opt-out rights.
31. Changes to These Terms
RALI may modify these Terms as the Services, products, business, or applicable laws change.
The current version may be posted through RALI's Services with an updated effective date. RALI will provide additional notice of material changes where required by applicable law.
If applicable law requires affirmative consent to a particular change, RALI will obtain that consent.
32. Assignment
You may not assign or transfer these Terms or your rights under them without RALI's prior written consent.
RALI may assign or transfer these Terms and its rights and obligations in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, change of control, similar transaction, or transfer to an affiliate, subject to applicable law.
33. Severability, Waiver, and Headings
If any provision of these Terms is held invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain effective.
RALI's failure to enforce a provision is not a waiver of its right to enforce that provision later.
Section headings are provided for convenience and do not affect interpretation.
34. Entire Agreement
These Terms, together with the RALI Privacy Policy, RALI Return & Refund Policy, RALI Shipping Policy, and any additional terms expressly presented for a particular product, feature, promotion, or purchase, constitute the applicable agreement between you and RALI regarding the Services.
If a specific product, return, refund, warranty, promotion, or purchase term conflicts with these general Terms, the more specific term controls for that subject.
